All Terms of Service and aspects of SezzA are governed by SezzA, and any use of any of SezzA's directories, products, services and/or Web sites, including the SezzA directory, site and service, expressly indicates your adherence to and understanding of SezzA's Terms of Service.

SezzA has certain terms and conditions (identified hereafter as "Terms of Service" or abbreviated as TOS) to which you must agree before using its services. Please read the following document fully before using SezzA's products or services, since your use of such indicates you have read, understand and agree to all parts and aspects of these Terms of Service. SezzA reserves the right to update and/or modify its TOS at any time without notice to you. Your use of SezzA's services, including the SezzA Web site and services, indicates your agreement to any and all amendments to these TOS.

You also agree to include as part of these TOS any additional guidelines or applicable rules which may be posted elsewhere by SezzA regarding particular services that may not be specifically listed here.

Search requests made using our Service may produce results or reference sites or information throughout the Internet and the world. Searches may take you to third party Web sites and/or applications outside SezzA's control. You understand that SezzA has no control over such sites and information, including but not limited to their accuracy, content, quality or currency. SezzA assumes no responsibility for your search leading you to unintended, objectionable, inaccurate or otherwise unwanted material, even if your search has been deliberately diverted by a third party. The Internet has abundant adult and/or objectionable material throughout its network, and we make no promises that we can safeguard you or your minor children from such material. You agree that in order to intentionally access areas known by you to contain adult content you must be at least 18 years of age.

You are responsible for keeping confidential your account information, including your password. You are responsible for all uses of your account, whether or not all uses have been authorized by you.

Listing your URL or company information within the SezzA directory grants SezzA permission to send email to your supplied email address. The email you receive from us will generally be notification of updates or changes to our site or services and is intended to be informational, not "nuisance" email. SezzA will never sell your contact information to third parties for any reason.

It is SezzA's policy that it may disclose certain aggregate information contained in our users' registration applications to third parties, but NOT such information as name, address, email address or telephone number without a user's prior written consent, except as required by law. Forums and Other Posted Information

As a user of this service, you understand that users alone are responsible for the contents of the messages they communicate as well as the consequences of those messages. You agree that you will never use our services for illegal activities or to send any message or material that is unlawful, harmful, threatening, racist, abusive, defamatory, obscene, harassing, libelous, invasive of another's privacy or gives rise to civil liability or otherwise violates the standards described anywhere on our site(s). You further agree not to use our services for the purpose of sending SPAM, chain mail, mass solicitations or other email annoyances. You assume complete and total responsibility for any material you transmit. You further understand and agree that any material (including but not limited to images, text and/or information) you receive is the sole responsibility of the sender and that SezzA assumes no responsibility for what may be sent to you or to others. Any violation of TOS may result in immediate deletion of a user's account without prior notice.

Chat and bulletin board communications are public and NOT private communications and the user agrees not to post information in such places that he or she wants to keep private. Although SezzA reserves the right to delete any posting for any reason, SezzA is not responsible for monitoring such communications for content. As a user of this service, you understand such communications may expose you to objectionable content that is not under SezzA's obligation to delete.

You understand and agree that SezzA's services are provided "AS-IS" and that SezzA assumes no responsibility whatever for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings.

You agree to indemnify, defend and hold harmless SezzA, its subsidiaries, affiliates, officers, agents, directors, consultants, co-branders and/or other partners and employees from any claim or demand made by any third party (including but not limited to reasonable attorneys' fees), arising out of use of its Service, content you or another party may submit, post or transmit through the Service, your use of the Service, your connection to the Service, your or another's violation of the Terms of Service, your or another's violation of another's rights, or infringement by any other user of your account. The TOS will inure to the benefit of SezzA's successors, assigns and licensees.

You agree not to reproduce, copy, duplicate, sell or resell any portion of the Service for commercial purposes.

SezzA reserves the right at any time to modify or discontinue, temporarily or permanently, its services, in whole or in part, without further notice. You agree that SezzA will not be held liable to you or to any third party for any modification, suspension or termination, in whole or in part, of its service. SezzA assumes no responsibility for damage, real or perceived, caused to you or any third party by suspension or termination of its services.

YOU UNDERSTAND AND EXPRESSLY AGREE THAT USE OF SezzA'S SERVICES IS AT YOUR SOLE RISK. ANY MATERIAL AND/OR DATA YOU DOWNLOAD OR OBTAIN THROUGH ITS SERVICES IS AT YOUR OWN DISCRETION AND RISK AND YOU AGREE YOU ARE COMPLETELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR ANY OTHER DAMAGE THAT RESULTS FROM THE DOWNLOAD OR USE OF SUCH MATERIAL.

SezzA MAKES NO WARRANTY THAT ITS SERVICE WILL MEET YOUR REQUIREMENTS, NOR THAT ITS SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SezzA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SezzA MAKES NO WARRANTY OR REPRESENTATION REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF ITS SERVICES, NOR DOES IT WARRANTY THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH ITS SERVICES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SezzA OR THROUGH USE OF ITS SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

SezzA WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND RESULTING FROM THE USE OF OR THE INABILITY TO USE SezzA'S SERVICES, INCLUDING BY NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, UNAUTHORIZED ACCESS TO OR ALTERATION OF A USER'S TRANSMISSIONS OR DATA, OR STATEMENTS OR CONDUCT OF ANY THIRD PARTY USING THE SERVICE. SezzA IS NOT LIABLE FOR ANY DAMAGES, REAL OR PERCEIVED, CAUSED BY OR RELATING TO USE OF THE SERVICE, EVEN IF SezzA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These Terms of Service constitute the agreement in its entirety between you and SezzA with respect to the subject matter hereof and supercedes and replaces all prior understandings and/or agreements between you and SezzA.
